NONDISCLOSURE AGREEMENT

      This Agreement, having an effective date of ______, is entered into between ______________ (“Inventor”), having its place of business at ___________________ _______________________ _______________ ("INVENTOR"), and ______________________, having its place of business at ___________________ _______________________ _______________ ("RECIPIENT").

The parties mutually agree that:

1.      In the course of doing business with INVENTOR, RECIPIENT may come in contact with certain information, designs and technologies which INVENTOR considers to be "Confidential Information".

Confidential Information shall mean any information related to any product, process or invention including, but not limited to, the following types of information and other information of a similar nature (whether or not reduced to writing): discoveries, ideas, concepts, software in various stages of development, code, procedures, "know-how," marketing and development plans, vendor names and other information.

2.      RECIPIENT agrees to hold in confidence and not to directly or indirectly reveal, report, publish, disclose or transfer any of the Confidential Information to any person or entity, or utilize any of the Confidential Information for any purpose at any time unless specifically allowed under terms of a separate agreement.

3.      Obligations regarding Confidential Information received under this Agreement shall not apply to any information that:

                  (a) becomes publicly available without default   by the RECIPIENT; or

                  (b) is lawfully acquired by the RECIPIENT from a source not under any obligation to the disclosing party regarding disclosure of such information; or

                  (c) is in the possession of the RECIPIENT in written or other recorded form at the time of its disclosure hereunder; or

                  (d)        is nonconfidentially disclosed to any third party by or with the permission of INVENTOR.

                  (e)      is in the public domain.

4.      The obligations of the Agreement will terminate ___ (_) years after the date of this Agreement..

          I acknowledge that I have read, understood and received a copy of, and agree to the terms of this Non‑Disclosure Agreement.
